Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Signal the Narrative LLC ("we," "us," or "Company"). By engaging our services, you agree to these Terms.

1. Services

We provide brand positioning, podcast production, narrative development, and marketing systems services. Specific services are defined in executed Statements of Work or service agreements.

2. Engagement and Payment

2.1 Service Agreements: All engagements require a signed Master Services Agreement and Statement of Work.

2.2 Fees: Fees are specified in the applicable SOW. All fees are in USD and non-refundable unless otherwise stated.

2.3 Payment Terms: Invoices are due within 30 days unless otherwise specified. Late payments accrue interest at 1.5% per month.

2.4 Expenses: Client shall reimburse pre-approved expenses as outlined in the SOW.

3. Intellectual Property

3.1 Deliverables: Upon full payment, you receive ownership of deliverables specifically created for you ("Work Product").

3.2 Company Materials: We retain rights to pre-existing materials, methodologies, and tools. You receive a license to use them with the Work Product.

3.3 Portfolio Use: We may include your name and project description in our portfolio unless you object in writing.

Both parties agree to maintain confidentiality of non-public information disclosed during the engagement. Confidentiality obligations survive termination.

6. Warranties and Disclaimers

6.1 Our Warranty: We will perform services professionally and consistent with industry standards.

6.2 Disclaimer: Except as expressly provided, services are provided as is without warranties of any kind. We do not guarantee specific business results.

7. Limitation of Liability

8. Termination

8.1 For Convenience: Either party may terminate with 30 days' notice. You pay for services rendered through termination.

8.2 For Cause: Either party may terminate immediately for material breach not cured within 15 days.

9. Dispute Resolution

Disputes shall first be subject to good faith negotiation. If unresolved, disputes shall be resolved through binding arbitration in Portland, Oregon under AAA rules.

10. General Provisions

10.1 Governing Law: Oregon law governs these Terms.

10.2 Independent Contractor: We are an independent contractor, not your employee or partner.

10.3 Assignment: You may not assign these Terms without our consent.

10.4 Severability: Invalid provisions shall not affect remaining Terms.

10.5 Amendments: We may update these Terms with notice. Continued use constitutes acceptance.

10.6 Entire Agreement: These Terms and executed agreements constitute the entire agreement.
